A NAME

 

The group’s name is Railwalks.co.uk

 

 

B THE PURPOSES OF THE GROUP ARE :-


                To encourage people to use the rail network for recreational walking

                To make it easier for people to use the rail network for walking

                To raise awareness about the usefulness and enjoyability of using the rail network for walking.

                To maintain a website and social media accounts to promote the above purposes

 

 

C CARRYING OUT THE PURPOSES

 

The Group will be run by a Committee made up of Trustees.

 

In order to carry out the purposes, the Committee has the power to : -

 

(1) raise funds, receive grants and donations

(2) cooperate with and support other groups with similar purposes

(3) do anything else within the law which is necessary to achieve the purposes.

 

 

D TRUSTEES

 

The trustees of the group are its only members. The trustees may appoint new trustees who are aged 18 or over and who support the purposes of the group.

 

Trustees may resign, by emailing the other trustees. 

 

The trustees may expel someone from the group, provided it is in the best interest of the group to do so, and they are given the right to be heard by the trustees before the decision is made.  A decision to expel a trustee must be approved by a two-thirds majority of all the trustees.

 

 

E ANNUAL GENERAL MEETING - AGM

 

(1) The AGM must be held every year, with 7 days’ notice given to all trustees telling

 them what is on the agenda.


(2) At least two-thirds of the trustees must be present at the AGM.

 

(3) The trustees shall present the annual accounts for scrutiny and adoption by the trustees.

(4) This constitution may be amended by a two thirds majority of the trustees voting at an AGM to do so.

 

 

F COMMITTEE MEETINGS
  

(1)  The trustees will normally meet online, but may meet in person by agreement.  They shall hold at least 3 meetings each year.

 

(2) At least two-thirds of trustees must be at a meeting to be able to make decisions.  A record should be circulated of decisions made.

 

(3) The trustees must keep accounts in a form which may be produced for any external body requiring them (e.g. tax authorities, funding organisations).

 

(4) The trustees may make reasonable additional rules for the proper conduct and management of the group. These rules must not conflict with this constitution or the law.

 

 

G MONEY

 

(1) Funds must be held in the group’s bank account. All cheques or online payments must be signed or ratified by 2 trustees or agreed at a Committee meeting.

 

(2) Funds cannot be used to pay trustees except to refund legitimate expenses.

 

(3) Funds and property must only be used for the purposes of the group.

 

 

H WINDING UP

 

The group may be wound up by a two thirds majority of trustees voting at a Special General Meeting called for that purpose. Any money or property remaining after payment of debts must be given to a group with similar purposes.

 

 

J SETTING UP THE GROUP

 

This constitution was adopted on June 12th 2024 by the people whose signatures appear below who are the founding Trustees. They will be the Committee until the first AGM, which must be held within one year of this date.
